Galilei Learning Users

These Terms of Use (“Terms”) govern the access and use of GALILEI LEARNING platform (“Platform”) by end users (“Users”). By accessing or using the Platform, you agree to comply with these Terms. If you do not agree with them, in whole or in part, you must not continue to use or access the Platform.

  1. What is GALILEI LEARNING?

GALILEI LEARNING is an online learning platform that leverages advanced data analysis and processing techniques to transform corporate training materials into engaging, interactive content. Through quizzes, games, and challenges, it enhances the learning experience, making it more effective and optimized for users.

  1. Access and use of the Platform.

The platform is owned by GALILEI LEARNING CORPORATION (hereinafter, "Galilei"). Access to the platform is granted to Users through authorization from their employers or contracting entities (hereinafter, the "Company"), as part of their engagement with Galilei's services.

To access the Platform, Users must follow these steps:

  • The Company will provide Galilei with the Users’ contact information (name and mobile phone number) to enable their access.

  • Galilei will send an access link to the Platform via WhatsApp to the mobile number provided by the Company for each User.

  • The User must complete the registration process on the Platform, which includes creating a username and password.

  • Once registration is complete, the User will be able to access the Platform to engage with quizzes, games, and challenges designed by Galilei to enhance corporate training and development.

Access to the Platform is personal and non-transferable. Users are responsible for maintaining the confidentiality of their login credentials and must promptly notify Galilei of any unauthorized use of their account.

Galilei reserves the right to deny or revoke access to the Platform at any time, at its sole discretion, particularly if it determines that a User has violated these Terms.

  1. Games and Prizes.

The Platform may offer games, challenges, contests, and prizes to Users as part of the quizzes and activities designed by Galilei for the Company. Participation in games and the eligibility for prizes are subject to the specific rules and conditions established for each activity.

Users acknowledge that Galilei does not guarantee the availability of games or prizes and reserves the right to modify or discontinue them at any time. Prizes are non-transferable and cannot be exchanged for cash.

Galilei reserves the right to disqualify any User who attempts to manipulate or violate the rules of the games or prize distribution. Galilei is not responsible for any damages or losses resulting from participation in games or the receipt of prizes.

  1. Users' prohibitions.

Users agree to refrain from engaging in any of the following activities:

  1. Modifying, disassembling, decompiling, or applying reverse engineering to the Platform.

  2. Testing, scanning for vulnerabilities, or attempting to bypass security mechanisms implemented on websites, servers, or networks connected to the Platform.

  3. Interfering with or compromising the integrity or performance of the Platform.

  4. Copying, emulating, or reproducing the Platform’s content in any way.

  5. Intentionally reducing or obstructing the accessibility, usability, or functionality of the Platform.

  6. Transmitting, publishing, or promoting any material or content that encourages conduct that may constitute a crime or create any form of liability for Galilei.

  7. Uploading or distributing any files containing viruses, corrupted files, or similar software/programs that may harm or disrupt the operation of the Platform.

Violation of any of these prohibited activities grants Galilei the unilateral right to terminate service without prior notice. Additionally, proof of such violations will serve as an enforceable legal title for Galilei to claim any applicable compensation.

  1. Intellectual Property.

The Platform, including its solutions, designs, graphics, text, images, source code, object code, usage model, content generated as part of the services provided to Companies, and all other accessible information, is the exclusive property of Galilei and is protected under intellectual property laws as applicable.

Distinctive signs such as trademarks, trade names, logos, and other brand identifiers are the exclusive property of Galilei. Users are not authorized to use these trademarks without explicit permission.

The use of the Platform by Users does not grant them any rights over Galilei's intellectual property or copyrights. Authorized uses are strictly limited to those defined in these Terms, the natural and functional purpose of the Platform, and the legal relationship between Companies and Galilei. Any permitted use must be interpreted restrictively.

Users and any third party must refrain from extracting and/or reusing any part of the Platform’s content without prior and express consent from Galilei or the respective rights holders. Failure to comply with this section may result in liability for damages.

Users may not sublicense, sell, rent, lease, transfer, distribute, display, host, subcontract, disclose, or otherwise commercially exploit the Platform or its generated content. Likewise, Users are prohibited from modifying, creating derivative works, disassembling, decompiling, or reverse engineering any part of the Platform or accessing it to support, assist, or create a competing service for third parties.

No functionality of the Platform may be copied, reproduced, distributed, published, downloaded, displayed, modified, or transmitted by any means, including but not limited to electronic, mechanical, photocopying, recording, or other methods.

The intellectual property rights over any content generated by Galilei exclusively belong to Galilei. Users acknowledge and respect all Galilei's rights over such material and commit not to use, reproduce, distribute, or disclose this content without Galilei’s prior written consent, except for the specific purposes related to the service contracted by the Company. Any unauthorized use may result in legal liabilities and the obligation to compensate Galilei for damages.

  1. Privacy.

By accepting these Terms, Galilei is authorized to collect, use, and process the personal data contained within the Platform, as well as any data that Users may provide or that may be collected in the future, for the purposes and under the terms described in Galilei’s Personal Data Processing Policy, which is available at www.galileilearning.com/privacy.

In any case, Users may exercise their rights to access, update, rectify, or delete their data or revoke this authorization in accordance with the terms of the Personal Data Processing Policy.

Personal data will be processed to fulfill Galilei’s corporate purpose and other objectives specified in the Personal Data Processing Policy.

Galilei will process personal data, as defined in its Personal Data Processing Policy, for as long as necessary to fulfill the stated purposes and/or as required to comply with legal or contractual obligations.

  1. Disclaimer of Warranties.

Users acknowledge that the service provided by the Platform is an "as is" service, meaning that there is no express or implied warranty regarding the provision of the service.

No information received by Users through any means from Galilei or any of its representatives or officers, beyond these Terms, shall bind Galilei or be considered a warranty regarding the Services.

Therefore, the only remedy available to Users concerning the services provided by the Platform is to discontinue use, without any refund to the Company.

  1. Limitation of Liability.

Under no circumstances shall Galilei be liable for direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Platform, including but not limited to lost profits, lost data, or business interruption.

Galilei’s total liability under these Terms shall not exceed the total amount paid by the Company to Galilei for the User’s access to the Platform during the twelve (12) months preceding the event giving rise to liability.

  1.  Indemnification.

Users agree to indemnify and hold harmless Galilei, its affiliates, officers, directors, employees, and agents from any claim, loss, damage, cost, or expense (including attorney’s fees) arising from the use of the Platform, the breach of these Terms, or the violation of any third-party rights.

  1. Modifications to the Terms.

Galilei reserves the right to modify these Terms at any time and to notify the Company and Users of such modifications. The changes will take effect upon their publication on the Platform.

Users are encouraged to review these Terms periodically to stay informed of any changes. Continued use of the Platform after the publication of modifications will constitute acceptance of such changes.

  1. Governing Law and Jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, U.S.A. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Delaware, U.S.A.
